Rudolph H. Laflamme, father of Michael Laflamme of Regulatory Support (Rates)

LAFLAMME, RUDOLPH H. 'RUDY', 79, of Venice, FL, formerly of Central Falls, died Saturday in Florida.

He was employed as the Treasurer and Bank Manager of Credit Union Central Falls. He retired in 1987. He later served on its Board of Directors. He was a member of the TK Club and a member of Wannamoisett Country Club. He served in the Merchant Marines during World War II.

He is survived by Theresa (Beauchemin) Laflamme of Greenville, his sons Robert Laflamme of Tiverton, Ronald Laflamme of Central Falls, Michael Laflamme of Attleboro, MA, his sisters Pauline Dooley of Pawtucket, Irene Kennelly of Newport and Barbara Vickers of Fountain Hills, AZ, 6 grandchildren, and a great grandson. His companion, Carol Gemme and her family also survive him.

His funeral will be held on Friday at 8:30 AM from the Lincoln Funeral Home, 1501 Lonsdale Ave., Lincoln with a Mass of Christian Burial at 10:00 AM in St. Matthew Church, Dexter St., Cental Falls. Calling hours are on Thursday from 4-8. In lieu of flowers, donations to the American Heart Assn., 20 Speen Street, Framingham, MA 01701 would be appreciated.

Nancy Brown
July 31, 2006

Nancy Brown passed away last Thursday. She had been battling cancer. She is survived by her husband, Ed Atchison, also of EUA. Her obituary follows:

Smithfield – Nancy L. (Stevenson) Brown-Atchison, 56, of Log Road died Thursday, July 27 at home. She was the wife of Edward J. Atchison.

Born in Pawtucket, a daughter of W. Alfred Stevenson of Lincoln and the late Dorothy (Bushell) Stevenson, she had lived in Smithfield for the past 28 years.

Mrs. Brown-Atchison was a computer programmer for Eastern Utilities for 30 years before retiring.

She was a graduate of Bryant University.

Besides her husband and father, she is survived by 2 sisters-in-law, Beverly A. Martel of Pawtucket and Shirley M. Connolly of Coventry.

The funeral and burial will be private. Calling Hours are respectfully omitted. Charlie was a lineman for Blackstone and a man that I never saw without a smile. One of the things he was looking forward to with retirement was the move to South Carolina and as he put it...... going home. Charlie did that shortly after retiring and happily spent his time doing what he loved and wanted to do surrounded by family.

Unfortunately Charlie's retirement time was far to short and he passed away this past August. As sad as I know that is, I also have no doubt that he lived every day to the absolute fullest.

John Carlson

(From the Plymouth Old Colony Memorial) John Carlson, 69, of Plymouth, died suddenly in Florida on Monday April 26. He was the husband of Nancy (Chisholm) Carlson of Plymouth. Mr. Carlson was born in Brockton on June 22, 1934, the son of the late Kirstin and Harold G. Carlson and the stepson of the late Lillian (Ortendahl) Carlson. He graduated from Brockton High School and Massasoit Community College. He was a resident of Plymouth for 27 years. He worked for Eastern Edison where he was a lineman for 26 years and a systems operator for 43 years. Mr. Carlson enjoyed bicycling, jogging and swimming. Ind addition to his wife, he is survived by his children, David J. Carlson of Plymouth, Barbara A. McSweeney of Tavares, Fla., and Pamela J. Jones of Sagamore Beach; six grandchildren; and three great-grandchildren.

A funeral service will be held Monday, May 3, at the Richard Davis Funeral Home, 619 State Road in Manomet, at 11:30 a.m. Visiting hours will be held at the funeral home on Sunday, May 2, from 4 to 7 p.m. The burial will be private. Chris Gibbs, long time switchboard operator and customer service clerk lost her long battle to cancer and died at home on April 8, 2004. She is survived by her husband John. Chris was an amazing, supportive woman whose tireless optimism amazed all her knew her.

Ralph Fucillo

As you may know, Ralph Fucillo had been battling cancer as well as a brain tumor for quite some time. On New Year's Eve, 2004 Ralph Fucillo passed away peacefully in his sleep at home surrounded by his family. Per Ralph's wishes, his family had a small memorial service for immediate family, rather than a wake & funeral. His ashes will be spread around his families summer home in Scituate where he spent many happy summers and to where he enjoyed riding his motorcycle.

National Grid In Merger Talks With US Utility Co -Report

LONDON -(Dow Jones)- U.K. power transmission company National Grid Group PLC ( NGG) has been holding merger talks with Northeast Utilities (NYSE: NU - News) (NU) of the U.S. , and expects to complete a deal at the end of the year, an industry newsletter reported Monday.

A deal with West Springfield, Mass. -based Northeast Utilities is likely to go through after National Grid completes its merger with U.K. infrastructure company Lattice Group PLC (U.LTI) in the autumn, Institutional Investor Inc.'s Power Finance & Risk newsletter reported.

In the past two years, National Grid has spent $6.2 billion buying two electricity utilities in the New England market. The U.K. company says the purchases have positioned it as one of the top 10 electricity companies in the U.S.

A National Grid-Northeast Utilities union would create a $21 billion energy concern, given the two companies' current market capitalizations, Power Finance & Risk reported.

National Grid wasn't immediately available for comment.

Northeast Utilities serves more than 1.7 million electricity customers in Connecticut , Massachusetts and New Hampshire , the newsletter said. In addition to four power company subsidiaries, Northeast Utilities owns natural gas subsidiary Yankee Gas Services and some other non-utility companies, it reported.

Northeast Utilities has retained Morgan Stanley as its adviser, Power Finance & Risk said.

Lattice runs the national gas transmission and distribution network in England, Scotland and Wales. This is a very big deal as it will make National Grid the 7th largest publicly traded utility in the world, and the UK's largest energy utility.
The impact on us here will be minimal. What this does is show the very exciting commitment that the Group is making to gas networks, which I can assure you has my full backing as well as that of the entire Board. We can look forward to sharing best practices within our larger gas organization after the deal closes, which we hope will be around year-end.

Bob Kane passes away...

After being in New England Sinai Hospital for therapy, Bob developed an infection, then pneumonia and was rushed to Boston Medical center where he passed away Thursday, February 21, 2002.

Visiting Hours Sunday, February 24, 2002 from 7 p.m. - 9 p.m. and Monday, February 25, 2002 from 2 p.m. - 4 p.m. and 7 p.m. - 9 p.m. at Conley's Funeral Home on Belmont Street (Rte 123) in Brockton. The funeral is Tuesday, February 26 at 8 a.m.

Bob Kane was hired in 1948 and retired from EUA where he worked in the Accounting Department in 1991 after 43 years of service.

NORMAND E. FLEURY, 54, of Wilson Road, Fall River, a youth program director, a duckpin bowling Hall of Famer and association president, and an accountant, died Thursday, October 25, 2001 at St. Anne's Hospital.

He was the husband of Kathleen Force. Born in Woonsocket, a son of Leo Sr. and Helen (Fontaine) Fleury, both of North Smithfield, he had lived in Fall River for 15 years, previously living in Smithfield.

Mr. Fleury was a youth program director at the Bowling Academy, East Providence, for 11/2 years. He had been an accountant for the former Eastern Utilities Association for 26 years.

He was president of the National Duckpin Youth Association in Rhode Island since 1986. He was a board member and past president of the Rhode Island Duckpin Bowlers Association for six years, and past president of the National Duckpin Bowling Congress for four years.

He was a member of the Rhode Island Duckpin Hall of Fame, past president of the National Duckpin Bowling Congress, and a Hall of Fame inductee to the Bowling Congress.

He was a member of Touisset Country Club. Mr. Fleury was a member of the Army Reserve many years ago.

Besides his wife and parents, he leaves two sons, Normand Fleury of Thorton, Colo., and Kenneth Fleury of West Warwick; a daughter, Carolyn Hodges of Flower Mound, Texas; two brothers, Leo Fleury Jr. of Smithfield and John Fleury of Glastonbury, Conn.; five grandchildren; and several nieces and nephews.

Calling hours are Monday, Oct. 29th, from 5:00 - 9:00 PM at the Hathaway Home for Funerals, 1813 Robeson St., Fall River, MA

Dave GulvinGoodbye

David H. Gulvin dies at 66

LINCOLN -- David H. Gulvin, 66, of Hill Farm Lane, the retired president of the Newport Electric Corp. and an honored civic leader, died Thursday at home.

In 1992, Mr. Gulvin became president of Newport Electric Corp., a position he held until he retired in 1997. He had been vice president and then president of the Blackstone Valley Electric Corp., and senior vice president of EUA Service Corp. He had also been a district manager at Connecticut Power & Light Co., where he worked for 27 years.

He was the police commissioner in Madison, Conn., from 1971 until 1983.

Mr. Gulvin received many honors including the Felix Mirando Humanitarian Award from the National Conference for Community and Justice in 1999, and the Longfellow Humanitarian Award from the Rhode Island Chapter of the American Red Cross in 1996. He was honored by the Pawtucket Kiwanis Club as Citizen of the Year in 1998, and by the Good Neighbor Energy Fund with the Charles Goss Award in 1997.

Mr. Gulvin was a director and executive committee member of the Northern Rhode Island Chamber of Commerce. A past president and director of the Pawtucket Family YMCA, he had been a chairman and advisor at the Human Issues in Management Conference at the YMCA Conference Center in Lake George, N.Y., and received the Volunteer of the Year Award from the Pawtucket Family YMCA in 1997.

He was a trustee of the National Conference of Christians and Jews, the Rhode Island Historical Society and the Slater Mill Historic Site. He was also a trustee of the Rhode Island Public Expenditures Council.

Mr. Gulvin was a director and past chairman of the Northern Rhode Island Private Industry Council. He was a councilor of the Newell Goff Council of Ingenuity and Enterprise and a former advisory council member of the Northern Rhode Island Small Business Development Center.

He had been a member of the Rhode Island Human Resource Investment Council as well as a member of the board of the Southeastern Massachusetts Manufacturing Partnership. He had twice served as chairman of the statewide Good Neighbor Energy Fund.

A Paul Harris Fellow, Mr. Gulvin was a member of the Rotary Club of Pawtucket and a past president of the Branford (Conn.) Rotary Club. He was a past chairman of the Newport County United Way campaign.

An Army veteran, he attained the rank of lieutenant, and also served as a captain in the Army reserves for eight years. He was an active member of Four Corners Community Chapel, Cumberland.

Mr. Gulvin received two master's degrees in 1977 and 1972, from the University of New Haven. A 1956 graduate of the University of Rhode Island, he received a bachelor's degree in industrial management.

He was the husband of Shirley (Tibbetts) Gulvin. They were married for 44 years. Born in Jamestown, N.Y., a son of the late Harold and Alice (Horner) Gulvin, he had lived in Madison, Conn., for 17 years before moving to Lincoln in 1986.

Besides his wife, he leaves three daughters, Debra G. Grenier of North Smithfield, Diane G. Brochu of Greenville, and Darcy K. Gulvin of Chepachet; two sisters, Marjorie Colwell of Upton, Mass., and Darlene Yates of Westminster, S.C.; and four grandchildren.

A Service of Remembrance and Thanksgiving will be held Monday at 11 a.m. in Four Corners Community Chapel, 200 Angell Rd., Cumberland. Burial will be private.

NEWS RELEASE: NATIONAL GRID TO ACQUIRE NIAGARA MOHAWK IN $3.0 BILLION TRANSACTION; CREATES NINTH LARGEST ELECTRIC UTILITY IN U.S.

Transaction Doubles Size Of National Grid USA; Creates Most Extensive Transmission Network And 2nd Largest Distribution Business In New England/New York Region

Niagara Mohawk To Retain Name And Syracuse-Based Operating Headquarters; National Grid Casts Vote of Confidence for Upstate New York Economy

WESTBOROUGH, MA and SYRACUSE, NY, September 5, 2000 - National Grid Group plc (LSE, NYSE: NGG) and Niagara Mohawk Holdings, Inc. (NYSE: NMK) announced today that they have signed a merger agreement under which National Grid will acquire Niagara Mohawk through the formation of a new National Grid holding company, New National Grid, and the exchange of Niagara Mohawk shares for a combination of American Depositary Shares (ADSs) and cash. National Grid, one of the U.K.'s 50 largest companies and the world's largest independent electric transmission company, builds, owns and operates electric and telecommunications networks around the world. Niagara Mohawk is the second largest combined electric and gas utility in New York State.

Niagara Mohawk is National Grid's third U.S. acquisition, after New England Electric System (NEES) and Eastern Utilities Associates (EUA), which were both acquired earlier this year.

The combination will create the ninth largest electric utility in the U.S. with an electric customer base of approximately 3.3 million. With Niagara Mohawk, National Grid will own and operate the most extensive transmission network (by miles) and be the second largest distribution business (by power delivered) in the New England/New York market.

Niagara Mohawk will continue to operate under its current name and will keep its operating headquarters in Syracuse. Upon completion of the transaction, Niagara Mohawk will become a wholly-owned subsidiary of National Grid and be re-branded "Niagara Mohawk, a National Grid Company."

Under the terms of the transaction, Niagara Mohawk shareholders will receive consideration of $19.00 per Niagara Mohawk share, subject to the dollar value of five National Grid ordinary shares being between $32.50 and $51.00. In the event that the dollar value of five National Grid ordinary shares is greater than $51.00, the per share consideration received by Niagara Mohawk shareholders will increase by two-thirds of the percentage of the increase in value over $51.00. In the event that the dollar value of five National Grid ordinary shares is less than $32.50, the per share consideration received by Niagara Mohawk shareholders will decrease by two-thirds of the percentage of the decrease in value below $32.50. Shareholders can elect to receive their consideration either in cash or ADSs, or a combination of both, subject to the aggregate cash consideration offered being at least $1.0 billion. If cash elections received from Niagara Mohawk shareholders exceed $1.0 billion, National Grid has the option to increase the cash element of the consideration. The terms of the merger agreement value the equity of Niagara Mohawk at approximately $3.0 billion (£2.1 billion) and the enterprise value of Niagara Mohawk at approximately $8.9 billion (£6.1 billion), including net debt of $5.9 billion (£ 4.0 billion) as of June 30, 2000.

The transaction is expected to be accretive to National Grid's earnings per share after the amortization of goodwill in the first full financial year after completion of the acquisition, and should substantially enhance National Grid's cash flow per share immediately following the completion. Through merger-related cost synergies and sharing of best practices, National Grid expects to achieve annual cost savings of approximately $90 million across New England and New York operations, representing some 10 percent of the enlarged group's electric controllable cost base. These savings are expected to be achieved within four years of the merger's completion, with approximately 50% of these savings achieved in the combined company's first full financial year.

The transaction is expected to be completed by late 2001, subject to a number of conditions, including regulatory and other governmental consents and approvals, the sale of Niagara Mohawk's nuclear facilities or other satisfactory arrangements being reached, and the approval of Niagara Mohawk and National Grid shareholders.

David Jones, chief executive of National Grid, said, "This acquisition builds perfectly on our successful North American strategy. It builds on both the platform we have created in New England and our top quality U.S. management team. With Niagara Mohawk, we double the size of our U.S. business and reinforce our position as a leading player in the Northeast - a region that is clearly at the forefront of the industry's restructuring in the U.S.

"Niagara Mohawk's management team has managed the critical issues related to purchase power contracts and industry restructuring over the last several years, which resulted in lower delivery costs for customers," Jones continued. "This work, along with its focused transmission and distribution business and depth of regional knowledge and experience, makes Niagara Mohawk an attractive partner to National Grid as we expand our U.S. business."

Jones concluded: "Our ten years of experience operating a transmission system in a competitive environment strengthens our ability to provide services that will benefit customers in today's rapidly changing U.S. energy markets. We look forward to bringing our experience to New York, and to continuing to contribute to the current debate on the restructuring of the U.S. transmission sector."

William E. Davis, chairman and chief executive of Niagara Mohawk, who will become chairman of National Grid USA and will join the National Grid board of directors as an executive director for two years after the completion of the acquisition, said, "We are delighted to be joining forces with National Grid to become an important part of one of the largest and most efficient energy delivery companies in the world. This transaction is in the best interests of our shareholders, and will yield significant benefits for our customers, employees and the communities we serve. Direct savings and sharing of best practices will create an even more efficient company, leading to lower delivery costs and enhanced customer service, making upstate New York a more attractive region for economic growth."

National Grid will have - following the acquisition of Niagara Mohawk - approximately 10,000 employees in its regulated electric and gas businesses in New York and New England. National Grid's goal is to achieve workforce reductions across the entire National Grid USA organization by 500 to 750 positions - over a period of four years - through natural attrition and voluntary programs. National Grid has achieved targeted merger savings and efficiencies in its previous U.S. mergers on a similar basis. A joint National Grid - Niagara Mohawk integration team will manage the cost reduction program and facilitate sharing of best practices.

Said National Grid USA President and CEO Rick Sergel, who will continue in his role after the merger, "Based on our successful integration of NEES and EUA earlier this year, we are confident that we will be able to reduce energy delivery costs, improve service for consumers in Niagara Mohawk's territories and contribute to economic development in upstate New York. We are fortunate to be working with Niagara Mohawk's dedicated employees, who have decades of experience in serving customers in upstate New York."

Noting that the Pataki administration, New York State regulators, and Niagara Mohawk have made tremendous progress in restructuring New York State's energy markets and achieving settlements on above-market power purchase contracts, Sergel added, "We aim to work with New York regulators to structure long-term rate plans that benefit customers and shareholders and include incentives for cost control and superior customer service. We intend to provide long-term rate stability that will support regional economic development in upstate New York."

"This transaction is a vote of our confidence for the long-term health of the upstate New York economy," concluded Sergel, noting that Niagara Mohawk will continue to be a major taxpayer in New York State. "We will continue Niagara Mohawk's excellent record of corporate citizenship in upstate New York. The same people who serve Niagara Mohawk customers and live in their neighborhoods will continue to do so after the merger. We will honor all union agreements, be responsive to the needs of local communities and support charitable organizations as Niagara Mohawk has done in the past. We will establish a New York Advisory Board made up of Niagara Mohawk's current outside directors to help advise on customer and community relations."

N M Rothschild & Sons Limited and Rothschild Inc. are advising National Grid, and Niagara Mohawk is being advised by Donaldson, Lufkin & Jenrette Securities Corporation. Merrill Lynch International and Credit Suisse First Boston are brokers to National Grid.

Niagara Mohawk Holdings, Inc. (NYSE: NMK) is an investor-owned energy services company that provides electricity to more than 1.5 million customers across 24,000 square miles of upstate New York. John Valentine makes the following report from the First Annual EUA Alumni Golf Tournament, August 12th 2000:

Those of you who played in the former Edison Golf League on Wednesday nights are now saying, " Oh My God, He's Back!!!!". Now what could I possibly report from just one golf outing? Well let's see. Dot . O'Donnell has changed her name to the LPGA great, Laura Davies. Ed hoped she played like her and not looked like her... Double Dot .. Patty Schlatz wondered how she was going to compete WITHOUT her "dots". Ed Atchison forgot to bring the free popcorn. Ray, "as excited as he gets", Peterson, had to carry the team. That takes care of them. Steve Hall's team was the last team on the golf course. Being last is something the invincible one is use to. His team was never a threat in the league either. Barbara, "How Sweet It Is", Hassan and Linda Snow teamed up with Bill Norko, and as usual, they were in the running to win,,,, but they didn't. Johnny V. and Kathy V. teamed up with Arlene Fleming and they got to see how Steve felt being last..... Has anyone seen Kirk Helmuth??? Dennis Weingartner is still nursing his hangover from the wedding he had to go to. If any of you know the person who got married, you would know what I mean.... I wish I had been invited.

Okay!! I'm done now. Boy that felt good. It was like being out of retirement for just a few minutes. The First Annual EUA Alumni Golf Outing was a great success. Just a few trying moments at the beginning but as soon as my friend Guido "speaks", to a few people, that will be resolved. The weather turned out very good. Just a couple of sprinkles. The temperature was just right. Not to hot, not to cold... The meal was excellent. I heard nothing but raves about it. Everyone had a good time golfing and it was great seeing all the former EUA people.

Now for the golfing results. First the closest to the pin winners. On hole number 4, Judd Sullivan. On hole number 6, Dave Hathaway. On hole number 14, Roger Lavoie and, on hole number 16, Tom Adduci. Nice shots everyone. Hole number 16 was probably the toughest hole to get a close shot into so, our hat's off to Tom... Each player received a sleeve of five Callaway Golf Balls.

Now the winning teams. Prizes were awarded to the five top teams. Ties were broken by matching cards. We started from the 18th hole and worked back. Here are the results. In First Place with a 3 under par round of 68, Team 6, Dave Mannion - Bob Swift - Pete Fuller - Mike Szczepanek. Second place went to Team 8, John Carney - Cliff Hebert - Don Pardus - John Stevens. Third Place went to Team 13, Dave Hathaway - George Kimball - Judd Sullivan - Phil Desruisseaux. Forth Place went to Team 3, Ed Atchison - Arlene. O'Donnell - Patty.. Schlatz - Ray Peterson. Second Third and Fourth place teams all had a 2 under par score of 69. Finally in Fifth place with score of 1 under par 70 was Team 2, Barbara Hassan - Linda Snow - Bill Norko

Well that's it folks. Thank you to those who helped me when we organized the outing back in April. A special thanks to Dennis Weingartner for his contribution to the prizes. Keep an eye out in January for the announcement of our Second Annual EUA Alumni Golf Outing. We will include everyone who ever worked for EUA and hope we can get the 120 players needed to do a shotgun start.

Eastern Utilities Associates Merges with National Grid

Parent companies close deal; Massachusetts Electric and Narragansett
Electric begin serving EUA customers May 1

WESTBOROUGH, Mass., April 19, 2000 -- National Grid USA (formerly New England Electric System, or NEES) completed its merger with Eastern Utilities Associates (EUA) today, according to Rick Sergel, president and chief executive officer of National Grid USA. The final sale price for the merger, which was announced on February 1, 1999, was $642 million, while the final price of EUA shares was $31.459 per share. There will be a special dividend paid to EUA shareholders as of the merger closing date of $0.2835 per share.

"This is an exciting day for EUA customers and shareholders alike," said Sergel. "With this closing, we can move on with the business of providing savings and long-term benefits to all of our customers, and shareholders can be rewarded for their loyalty over the years."

On May 1, EUA's local electric companies will merge into those of National Grid USA. Eastern Edison, serving the greater Brockton and Fall River areas of Massachusetts, will become part of Massachusetts Electric, to serve 1.2 million customers. Blackstone Valley Electric Company and Newport Electric Corporation will merge into Rhode Island's Narragansett Electric Company, to serve 560,400 customers.

Massachusetts and Rhode Island regulators have approved new rate plans for the company's 1.7 million distribution customers in both states, which are scheduled to take effect on May 1. The new rate plans call for an immediate reduction in distribution rates, a five-year distribution rate freeze, and implementation of performance standards for service reliability and customer satisfaction.

National Grid USA's subsidiaries are engaged in the transmission and distribution of electricity, the marketing of energy commodities and services, and the construction and leasing of telecommunications infrastructure.
